Terms of Service
The terms that govern use of the Cadre platform and the Cadre text alerts program from Patchen Technologies LLC.
1. Agreement to these terms
These terms are an agreement between you and Patchen Technologies LLC, an independent software company based in Watertown, New York, USA. They apply to the Cadre platform — including the Cadre mobile app, web application, and the Cadre text alerts SMS program — and to this website. By creating an account, using Cadre, or opting in to Cadre text alerts, you accept these terms. If you are using Cadre on behalf of a fire department that has a separate written agreement with us, that agreement controls where the two differ.
2. Cadre is supplemental — not primary dispatch
Cadre is a supplemental notification and operations tool. It is not a dispatch system, and it must never be relied on as one.
SMS and push notification delivery are best-effort and are not guaranteed. Messages may be delayed, arrive out of order, or fail to arrive at all — because of carrier filtering, rate-plan limits or message caps, handset settings, do-not-disturb or focus modes, network congestion or outages, a powered-off or out-of-coverage device, or any other condition outside our control.
Cadre is not a substitute for primary dispatch — radio, pager/tone-out, or 911 center notification. Subscribing departments must maintain and rely on independent primary dispatch systems at all times. No emergency response decision should ever depend on a Cadre alert arriving.
By using Cadre, you and your department acknowledge these limits and agree that any use of the service is subject to them.
3. SMS program terms: Cadre text alerts
These terms apply to the Cadre text alerts SMS program.
Opting in
You enroll by entering your own mobile number in the Cadre app or during account setup, verifying it with a one-time code sent to that number, and giving affirmative consent to receive text alerts. Consent is never a condition of employment, department membership, or use of the app. Once enrolled, you will receive text messages related to your department's operations, such as incident alerts, availability requests, and scheduling notices.
Message frequency and cost
- Message frequency varies and depends on your department's incident and operational activity.
- Message and data rates may apply. Any charges are billed by your mobile carrier under your rate plan.
Help and opting out
- Reply HELP or INFO to any Cadre message for help, or contact support at [email protected].
- Reply STOP, STOPALL, UNSUBSCRIBE, CANCEL, END, or QUIT to any Cadre message to cancel. You will receive one final message confirming your opt-out, after which no further messages will be sent unless you opt in again.
- To opt back in after opting out, reply START, YES, UNSTOP, JOIN, or CADRE, or re-enable text alerts in the app.
- You can also disable text alerts in the app's notification settings or through your department administrator.
Carriers
Mobile carriers are not liable for delayed or undelivered messages.
Privacy
Our handling of mobile numbers and opt-in data is described in the SMS / text messaging section of our Privacy Policy. Mobile information is never shared with third parties or affiliates for marketing or promotional purposes.
4. Accounts and eligibility
You must be at least 18 years old to use Cadre. Accounts are provisioned through a subscribing fire department, and you are responsible for keeping your credentials confidential and for activity under your account. Tell us promptly if you believe your account has been compromised.
5. Acceptable use
You agree not to:
- Use Cadre for any unlawful purpose, or in any way that interferes with emergency operations.
- Access or attempt to access data belonging to a department or member other than your own, or probe, scan, or test the platform's security without our written permission.
- Share, republish, or sell incident or dispatch data obtained through Cadre outside your department's authorized use.
- Send, or cause the platform to send, messages to anyone who has not opted in.
- Resell, sublicense, or provide the service to third parties without a written agreement with us.
- Reverse engineer the service or use it to build a competing product.
6. Department data
Incident data and roster data in Cadre belong to the subscribing fire department. The department is responsible for the accuracy of the data it provides and for having the authority to submit it — including member roster information and any data feeds it directs us to ingest on its behalf, such as county CAD data. We process that data only to operate the platform for the department, as described in our Privacy Policy.
7. Fees
Access to Cadre is provided under a subscription between Patchen Technologies LLC and the subscribing department, on the pricing and payment terms in that subscription. Individual members are not charged by us for using the app; carrier messaging and data rates are between the member and their carrier.
8. No warranty
The service is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory — including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the service will be uninterrupted, timely, error-free, or secure, or that any alert or message will be delivered, or delivered on time. Section 2 (Cadre is supplemental — not primary dispatch) applies to every use of the service.
9. Limitation of liability
To the fullest extent permitted by law:
- Patchen Technologies LLC will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, or business interruption, arising out of or related to the service — even if we have been advised such damages are possible.
- We will not be liable for any damages arising from delayed, undelivered, misdirected, or failed messages or notifications, or from reliance on the service for emergency response, dispatch, or notification.
- Our total liability for all claims arising out of or relating to the service is capped at the fees actually paid to us for the service in the twelve months before the event giving rise to the claim. If no fees were paid, our total liability is capped at one hundred U.S. dollars.
Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you; in that case our liability is limited to the greatest extent the law allows.
10. Indemnification
Each subscribing department agrees to defend and indemnify Patchen Technologies LLC, and hold it harmless, from claims, damages, and expenses (including reasonable attorneys' fees) arising out of: the department's use of the platform; the accuracy, content, or lawfulness of data the department provides or directs us to ingest; the department's operational decisions, including decisions made with or without a Cadre alert; and the department's violation of these terms.
11. Suspension and termination
We may suspend or terminate access to the service — for an individual account or a department — if these terms are violated, if required to protect the platform or its users, if directed by the subscribing department for its own members, or if a subscription lapses. Where practical, we will give notice before suspending. A department may terminate its subscription as provided in its agreement with us.
What happens to data on termination: member access is deactivated, and the department's data remains stored. The platform does not currently offer data export or erasure. Incident records are append-only and retained indefinitely, and member accounts are deactivated rather than deleted, as described in our Privacy Policy. Sections 2, 8, 9, 10, and 12 survive termination.
12. Governing law and venue
These terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these terms or the service must be brought exclusively in the state or federal courts located in Jefferson County, New York, and each party consents to the jurisdiction of those courts.
13. Changes to these terms
We may update these terms from time to time. When we do, we will post the updated version here and revise the "last updated" date at the top. For material changes, we will notify subscribing departments before the changes take effect. Continued use of the service after a change takes effect constitutes acceptance of the updated terms.
